What is the status of this Agreement? Please read this agreement between you ("Member" or "You") and Phaidon Press Limited ("Us" or "We" or "Phaidon") carefully. By completing the online membership application form and clicking on the agreement check box in that form or by signing up at a participating Phaidon Store, you confirm that you have read, understood and agreed to be bound by the terms and conditions set out in this agreement (the "Agreement"). Your membership of the Phaidon Club (the Program) is conditional upon your acceptance of and adherence to the terms and conditions of this Agreement as amended and updated from time to time by Phaidon. Who is eligible for membership? To be eligible for membership of the Program, You must be 18 years of age or older. Residents of France, Italy, Spain and Germany will not be able to redeem any points that they collect due to legal restrictions. What information do I need to provide? To access and participate in the Program, You must activate your Program account ("Account," or "Membership") by providing us with accurate and complete contact information, including a unique and valid email address which we will use to authenticate your Account. We will send any notices pursuant to this Agreement to the email address you provide. By applying to become a member of the Program, you agree to allow Phaidon and its subsidiaries to collect and store the personal information You provide as part of your application together with your purchase history with Phaidon. We will keep in strict confidence and store securely any personal information You submit to Us. We will never make your personal information available to any third party. How long does my membership last? Your membership is valid for one (1) year from the date of activation and, unless it is terminated earlier in accordance with this Agreement, it will automatically renew on the anniversary of the date of activation. How do I collect points? You earn points by purchasing qualifying items from www.phaidon.com or from participating Phaidon stores. If You collect one thousand five hundred (1,500) points in any twelve month period, You will automatically become a Level 2 member and Phaidon will double any points that You collect after becoming a Level 2 member. If You collect six thousand (6,000) points in any twelve month period, you will automatically become a Level 3 member and Phaidon will triple any points that you collect after becoming a Level 3 member. Level 2 and Level 3 members will also qualify for additional rewards as follows: |

Free shipping is only applicable for orders shipped to the USA, the UK or Australia. We reserve the right at our sole discretion to increase or decrease the number of points collected on qualifying purchases and to change how points are collected from time to time and we will notify You of any changes we make. You cannot collect points on purchases of certain excluded items including collector's editions. Phaidon reserves the right to add or remove items from this list of excluded items at any time. We will deduct points from your Account if You return an item on which you collected points. What are my points worth? You will collect ten (10) points for every one pound/dollar/euro (£1/$1/€1) that you spend at www.phaidon.com or in participating Phaidon stores. In order to ensure that all Members of the Program are treated fairly, the total value of your available points will vary according to the currency you are paying in: |

How do I redeem my points? You can redeem your points at www.phaidon.com or at any participating Phaidon Store in accordance with the terms of this Agreement. Points have no cash value and are not transferrable or refundable. Purchases made with points may be exchanged but not refunded, pursuant to Phaidon's current exchange policy. If the value of your purchases exceeds the value of your points, you will be responsible for paying the difference at the time of purchase. You will not collect points on purchases that are paid for in full by redeeming points. If you part-pay for a purchase by redeeming points, you will only collect points on the element not paid for using points. You cannot use your points in conjunction with any coupon code or other offer or on delivery charges or sales tax. How long are my points valid for? Each point is valid for one (1) year from the date of collection.If you don't use your points within one (1) year from the date of collection, You will lose them. This may result in You dropping down a level. How can Phaidon terminate my membership? Phaidon may, in its sole discretion, terminate your membership in the Program for any reason, with or without cause or explanation. The following is a non-exhaustive list of grounds for termination of your Membership:
Limits on Liability for Technological Failure Phaidon will use reasonable endeavours to ensure accurate and timely exchange of all rewards and information. Phaidon does not accept liability for any losses that you experience because the Program and/or its underlying technology is not operational or accessible to You. This term will survive expiry or termination of this Agreement. What happens if Phaidon terminates the Program? Phaidon reserves the right to terminate the Program at any time by written notice to You. If Phaidon chooses to terminate the Program, You will have thirty (30) days to redeem any points held by You at such time. How can Phaidon change the Program or this Agreement? Phaidon reserves the right, at its sole discretion, to change any part of Program or to amend this Agreement at any time without prior warning to Members. Phaidon will publish any such changes on www.phaidon.com. If You do not accept the modified Agreement or Program (as the case may be), You may withdraw from the Program immediately by sending an email to webinfo@phaidon.com or by contacting your nearest participating Phaidon Store. If You exercise your right to withdraw, You will have thirty (30) days following withdrawal to redeem all your points remaining. At the end of this period, Phaidon will terminate your Account and cancel all points which remain credited to your Account. General Failure by Phaidon to enforce a particular term or condition of this Agreement does not constitute a waiver of that term or condition by Phaidon. All questions or disputes regarding eligibility for the Program or points will be resolved by Phaidon in its sole discretion. This Agreement will be governed by the laws of England. The parties hereby submit to the exclusive jurisdiction of the courts of England to hear and resolve any dispute between the parties arising out of or in connection with this Agreement.
